Welcome to behindeverystock.com (the "Site"), a beta version online platform designed for investors. By accessing or using the Site, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with these Terms, you must not use the Site.

2. Acceptance of Terms

By registering an account, providing your email, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any future modifications. You also agree to our Privacy Policy. A checkbox confirming your acceptance of these Terms is required during the registration process.

3. Definitions

"User," "you," and "your" refer to the individual accessing the Site. "We," "us," and "our" refer to behindeverystock.com and its owners. "Site" and "Platform" are used interchangeably to refer to behindeverystock.com and its services.

4. User Accounts & Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an account and use the Platform. By creating an account, you represent and warrant that you meet this age requirement. The Platform is not intended for use by minors. If we become aware that a user is under the minimum age, we will terminate the account and delete associated data.

Users are responsible for maintaining the confidentiality of their account information. You agree not to share your account with any third parties. Unauthorized use of your account may result in suspension or termination.

5. Use of the Site

You agree to use the Site for lawful purposes only. You may not copy, distribute, or commercially exploit any content from the Site without our prior written consent. Excessive downloading or abuse of the Site's resources may lead to account suspension or termination.

6. Investment Disclaimer

The content provided on the Platform, including but not limited to stock data, fair value estimates, financial metrics, AI-generated analyses, and any other information, is for informational and educational purposes only and does not constitute investment advice, financial advice, trading advice, or any other sort of advice.

We are not a registered investment advisor, broker-dealer, or financial institution. We do not hold any financial services license or registration in any jurisdiction.

You are solely responsible for your own investment decisions. No content on the Platform should be construed as a recommendation to buy, sell, or hold any security or financial instrument. Any investment decisions you make are entirely your own, and you accept full responsibility for any outcomes.

7. Data Accuracy and Reliability

Financial data displayed on the Platform is sourced from third-party providers, including Financial Modeling Prep and other data services. We do not control and are not responsible for the accuracy of third-party data. Data may be subject to the licensing terms of its respective providers. You agree not to redistribute, resell, or commercially exploit raw data obtained from the Platform.

AI-generated analyses and computed metrics (including but not limited to fair value estimates, financial ratios, and pattern detection) are produced by artificial intelligence and large language models. These outputs may contain errors, inaccuracies, hallucinations, or outdated information. AI-generated content is clearly automated and does not represent personalized advice. These outputs should not be relied upon as the sole basis for any decision.

Use of all data and information on the Platform is at your own risk. You should independently verify any information before relying on it for investment or other decisions.

8. Disclaimer of Warranties

The Site and its content are provided "as is" and "as available" without any warranties of any kind, whether express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the accuracy, completeness, or reliability of any information on the Site. The data may be inaccurate, false, or subject to unauthorized alterations. Your use of the Site is at your own risk.

9. Limitation of Liability

In no event shall we be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising from your use of the Site or reliance on any information provided. This includes, but is not limited to, losses resulting from investment decisions made based on Site content, data inaccuracies, AI-generated content errors, service interruptions, or any other use of the Platform. We expressly disclaim liability for lost profits, lost data, loss of goodwill, or investment losses.

Our total liability to you for any claims arising out of or relating to these Terms or your use of the Platform shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Indemnification: You agree to indemnify, defend, and hold harmless behindeverystock.com and its owners, officers, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform, (b) your violation of these Terms, (c) your investment decisions, or (d) any third-party claims related to your use of the Platform.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or third-party service outages.

10. Promotions and Pricing

The first 1,000 users who invite at least one other user that subscribes for at least one year will receive a five-year premium subscription. This promotion is deterministic and does not involve any element of chance — eligibility is based solely on meeting the stated criteria. Subscription prices are listed on our pricing page and are subject to change. Promotions, pricing, and subscription terms may vary based on the time of registration.

Eligibility is limited to one account per natural person. Self-referrals and fraudulent referrals are prohibited and may result in account termination. We reserve the right to modify or discontinue any promotion at any time with reasonable notice. Any promotional benefits may be subject to applicable tax obligations in your jurisdiction.

11. Availability and Updates

We strive to keep the Site up and running smoothly; however, we cannot guarantee uninterrupted access. There may be times when the Site is temporarily unavailable due to maintenance, updates, or technical issues beyond our control. We appreciate your understanding and recommend checking back later if you experience any difficulties.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. For non-material changes (such as typographical corrections or clarifications), changes will be effective upon posting on the Site.

For material changes (including but not limited to changes affecting pricing, liability, dispute resolution, or data processing), we will provide at least 30 days' advance notice via email to registered account holders before the changes take effect. If you disagree with a material change, you may terminate your account before the effective date without penalty. Your continued use of the Site after the effective date constitutes acceptance of the modified Terms.

13. Intellectual Property Rights

All content on the Site is protected by intellectual property laws. Unauthorized use of any content may violate copyright, trademark, and other laws. You may not use any content without our express written permission.

14. Governing Law & Jurisdiction

14.1 — EU Users

If you are a consumer residing in the European Union: These Terms are governed by the laws of Poland, without prejudice to mandatory consumer protection laws of your country of residence. You may bring legal proceedings in: (a) the courts of Poland, or (b) the courts of your country of residence. Nothing in these Terms limits your rights under applicable consumer protection laws, including those under Regulation (EC) No 593/2008 (Rome I).

14.2 — Non-EU Users (Including USA)

If you are not a resident of the European Union: These Terms are governed by the laws of Poland. Any dispute arising out of or relating to these Terms shall be resolved exclusively through binding arbitration as described in Section 15 below.

15. Dispute Resolution

15.1 — Informal Resolution (All Users)

You agree to first attempt to resolve any dispute informally by contacting us at behindeverystock+legal@gmail.com. We will make reasonable efforts to resolve your concern within 30 days of receiving your written notice.

15.2 — EU Users: Mediation and Court Proceedings

If you are a consumer residing in the European Union and the dispute is not resolved informally within 30 days:

• Mediation: Either party may propose mediation. Mediation shall be conducted by a mutually agreed-upon mediator. Unless otherwise agreed, mediation shall take place remotely or in Warsaw, Poland. The costs of mediation shall be shared equally between the parties, except where applicable consumer protection laws provide otherwise.
• Court Proceedings: If mediation does not result in a resolution within 60 days, either party may bring proceedings before the competent courts as set forth in Section 14.1.

15.3 — Non-EU Users (Including USA): Binding Arbitration

If you are not a resident of the European Union and the dispute is not resolved informally within 30 days, any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved by binding arbitration. For users located in the United States, arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. For users located in other non-EU jurisdictions, arbitration shall be conducted under rules mutually agreed upon by the parties.

You agree that:

• Arbitration replaces the right to go to court, including the right to a jury trial.
• All disputes will be resolved on an individual basis only.
• No class actions, collective actions, or representative actions are permitted.
• You waive any right to participate in a class action lawsuit or class-wide arbitration.
• Each party may only bring claims in their individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

The arbitration shall be conducted in English.

15.4 — Small Claims Exception

Notwithstanding the above, either party may bring an individual claim in a small claims court of competent jurisdiction, provided the claim falls within the court's jurisdictional limits.

16. Account Suspension & Termination

We may suspend or terminate your account if you: (a) violate these Terms, (b) engage in fraudulent or illegal activity, (c) abuse the Platform or its resources, or (d) pose a risk to other users or to our systems.

Before suspension for curable violations, we will make reasonable efforts to notify you via email and provide 14 days to remedy the issue. In cases of fraud, illegal activity, or imminent harm, we may suspend immediately without prior notice.

If your account is suspended, you may appeal by contacting behindeverystock+legal@gmail.com. We will review appeals within 30 days.

If your paid subscription is terminated by us without cause, you are entitled to a pro-rata refund for any unused prepaid period. You may terminate your account at any time by contacting us.

Upon account termination, your personal data will be handled in accordance with our Privacy Policy. Invoice and financial records will be retained for 5 years as required by tax law.

17. Security & Breach Notification

We implement industry-standard security measures to protect your data, including encryption in transit and at rest, secure authentication, and regular security reviews.

In the event of a data breach that affects your personal data, we will notify you via email without undue delay and in accordance with applicable law, including GDPR Article 33 (72-hour notification to supervisory authorities) and Article 34 (notification to affected individuals where there is a high risk to rights and freedoms).

18. Data Retention

We retain your data only as long as necessary for the purposes outlined in our Privacy Policy. Specifically:

• Account data: Retained while your account is active, plus 30 days after deletion to allow for account recovery.
• Financial and invoice data: Retained for 5 years as required by tax law.
• Usage logs: Retained for up to 12 months for security and performance monitoring.

After the applicable retention period expires, data is securely deleted or anonymized.

20. Do Not Sell My Personal Information

Under the California Consumer Privacy Act (CCPA) and other applicable privacy laws, you have the right to:

• Know what personal information we collect about you
• Request deletion of your personal information
• Opt out of the sale of your personal information (we do not sell your data)
• Non-discrimination for exercising your privacy rights

21. Entire Agreement, Severability & Survival

These Terms constitute the entire agreement between you and us regarding your use of the Site and supersede any prior agreements.

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Survival: The following sections shall survive any termination or expiration of these Terms: Investment Disclaimer (Section 6), Data Accuracy (Section 7), Disclaimer of Warranties (Section 8), Limitation of Liability (Section 9), Intellectual Property (Section 13), Governing Law (Section 14), Dispute Resolution (Section 15), and this Section 21.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us to be effective.
